Terms of Service

Effective: July 2026 · Conclave is operated by AVYX Labs LLC ("we", "us"). By creating an account or using Conclave, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

1. Eligibility & Account

You must be at least 18 and able to form a binding contract. You are responsible for your account, the accuracy of your profile, and all activity under it. One account per person; no impersonation.

2. The Service

Conclave is a private professional network that facilitates introductions, messaging, scheduling, and event discovery, assisted by AI features. We may add, change, suspend, or discontinue any feature at any time. AI-generated drafts and suggestions are aids only — you are responsible for everything you send.

3. Acceptable Use

You agree not to: harass, threaten, or defame others; send spam or unsolicited commercial messages outside the intended intro flow; post unlawful, infringing, or deceptive content; scrape, reverse-engineer, or access the service by automated means; misrepresent your identity or affiliation; or attempt to circumvent consent, security, or rate limits. We may remove content and suspend or terminate accounts that violate these Terms, at our discretion, with or without notice.

4. Your Content

You retain ownership of content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process it as needed to operate and improve the service. You represent you have the rights to what you post. We do not claim ownership of your professional information.

5. Introductions & Interactions

Conclave facilitates connections between members but does not vet, endorse, or guarantee any member, introduction, meeting, or outcome. You interact with other members at your own risk. Any agreements, engagements, or transactions between members are solely between those members.

6. Events

Event listings (including automatically discovered ones) are provided for convenience and may be inaccurate, changed, or cancelled by their organizers. Verify details with the organizer. We are not affiliated with listed events unless expressly stated.

7. Fees

The service is currently free. If we introduce paid memberships, we will provide notice and terms before you are charged.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVYXLABS AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE OR INTERACTIONS WITH OTHER MEMBERS. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless AVYX Labs LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the service, or your violation of these Terms or applicable law.

11. Termination

You may delete your account at any time in the app (You → Delete account). We may suspend or terminate access for any violation of these Terms or to protect the service or its members. Sections 4–13 survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law rules. Disputes shall be resolved in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. You waive any right to participate in a class action to the extent permitted by law.

13. Changes

We may update these Terms. Material changes will be announced in the app or by email; continued use after changes take effect constitutes acceptance. Questions: hello@conclaveclub.app.
