Effective: September 6, 2026 · Conclave is operated by AVYX Labs LLC ("we", "us"). By creating an account or using Conclave, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
1. Eligibility & Account
You must be at least 18 and able to form a binding contract. You are responsible for your account, the accuracy of your profile, and all activity under it. One account per person; no impersonation.
Professional identity and account integrity. Conclave is a professional network. You must provide accurate account information and use a genuine name or professional identity by which you are reasonably known. You may not create a false or misleading identity, impersonate another person, or materially misrepresent your professional identity or affiliation.
Verification. We may require reasonable verification of your account ownership, email address, professional information, or identity when necessary to protect the integrity and safety of the community. Access to some or all features may be restricted while verification is pending. We may reject or require replacement of temporary or disposable email addresses and may require a permanent personal or professional email address.
2. The Service
Conclave is a private professional network that facilitates introductions, messaging, scheduling, and event discovery, assisted by AI features. We may add, change, suspend, or discontinue any feature at any time. AI-generated drafts and suggestions are aids only; you are responsible for everything you send.
3. Acceptable Use
You agree not to: harass, threaten, or defame others; send spam or unsolicited commercial messages outside the intended intro flow; post unlawful, infringing, or deceptive content; scrape, reverse-engineer, or access the service by automated means; misrepresent your identity or affiliation; or attempt to circumvent consent, security, or rate limits. We may remove content and suspend or terminate accounts that violate these Terms, at our discretion, with or without notice.
4. Your Content
You retain ownership of content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process it as needed to operate and improve the service. You represent you have the rights to what you post. We do not claim ownership of your professional information.
5. Introductions & Interactions
Conclave facilitates connections between members but does not vet, endorse, or guarantee any member, introduction, meeting, or outcome. You interact with other members at your own risk. Any agreements, engagements, or transactions between members are solely between those members.
6. Events
Event listings (including automatically discovered ones) are provided for convenience and may be inaccurate, changed, or cancelled by their organizers. Verify details with the organizer. We are not affiliated with listed events unless expressly stated.
6a. Live Talks
Members may host and join live audio and video sessions ("Live Talks") attached to events. Live Talks are transmitted in real time and are not recorded or stored by Conclave; when a talk ends, its audio and video are gone. We retain only basic participation records (for example, who joined which talk). You may not record, capture, or rebroadcast a Live Talk, or any participant's voice or image, without the consent of those on stage. Hosts moderate their own rooms and may mute or remove participants at their discretion; we may end any Live Talk at any time. Anything you say or show in a Live Talk is your responsibility and must follow the Acceptable Use rules above. Some Live Talks may require a ticket issued by the event organizer; ticketing, payment, and refunds for such tickets are handled by the organizer, not by Conclave.
7. Fees
Membership is currently free. Certain optional features, such as Paid Requests, carry fees that are always shown before you pay. If we introduce paid memberships, we will provide notice and terms before you are charged.
8. Paid Requests
Money can buy expertise or time. It can never buy an introduction, a relationship, or access to another member. Conclave is a private professional network, not a marketplace of services. Some members choose to offer paid consideration of specific professional requests ("Paid Requests").
A Paid Request lets you pay another member for a substantive response to a specific professional request, if the recipient accepts. Your payment is authorized at checkout and charged only upon acceptance. It does not purchase access, acceptance, endorsement, employment, advice, or any business outcome. Every member remains free to accept or decline any request, and a thoughtful decline is a fulfilled Paid Request.
Payment works on an authorization basis: if a member does not decide on your request within 3 days, your payment authorization is released and you pay nothing. If your request is accepted and the member does not respond substantively within 5 days, you receive an automatic full refund. One active Paid Request per member pair applies; the recipient may choose to allow further requests from you. Responses to Paid Requests may be reviewed for quality assurance.
Members offering Paid Requests act independently; they are not employees, contractors, or agents of AVYX Labs LLC, and Conclave does not supervise, endorse, or guarantee their responses. Payments are processed by Stripe; AVYX Labs LLC does not store card details and receives a platform fee disclosed at checkout. Refund costs arising from a member's failure to respond may be deducted from that member's payouts. We may suspend any member's ability to offer Paid Requests at any time to protect the community.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVYX LABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE OR INTERACTIONS WITH OTHER MEMBERS. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless AVYX Labs LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the service, or your violation of these Terms or applicable law.
12. Termination
You may delete your account at any time in the app (You → Delete account). We may restrict, suspend, or terminate access for any violation of these Terms, suspected abuse, fraud, misrepresentation, security risk, or when reasonably necessary to protect the service or its members. We may require verification before restoring restricted or suspended access. Sections 4 to 14 survive termination.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law rules. Disputes shall be resolved in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. You waive any right to participate in a class action to the extent permitted by law.
14. Changes
We may update these Terms. Material changes will be announced in the app or by email; continued use after changes take effect constitutes acceptance. Questions: hello@conclaveclub.app.
